Terms of Website Use, Including Privacy and Security

The following is a legal agreement between Carleton McKenna & Co., LLC (“CM&Co,” “we,” “us,” or “our”) and “you,” the user of any CM&Co websites, including those containing CM&Co blog posts, studies, videos, or information of any kind generated by CM&Co (“CM&Co Sites”). The intent is to limit our legal liability, to disclose the manner in which we will handle privacy issues and to encourage users to be a good netizen with respect for the privacy, original work and interactions with others.

By accessing the CM&Co website, you acknowledge that you have read, understand and agree to be bound to these terms of use (“Terms”), to comply with all applicable laws and regulations and to generally be a good netizen. Please read the entire agreement and if you do not agree to these Terms, simply do not use the CM&Co Sites.

CM&Co shall have the right to revise these Terms at any time by updating this posting. By using the CM&Co Sites, you agree to be bound by such revisions and should therefore periodically visit the site to determine the then-current Terms to which you are bound. License and restrictions for use. Subject to the Terms, CM&Co grants you permission to view and use the CM&Co Sites and all information, materials and content made available to you on the CM&Co Sites and to print individual pages from the CM&Co Sites. Remember, though, that you are solely responsible for your actions and communications while using the CM&Co Sites. The CM&Co site is made available for your personal and non-commercial use only. This is a license only and not a transfer of title. You may not copy, reproduce, distribute, publish, post, modify and claim, any content, information, data, products or services obtained from the CM&Co Sites.

You further represent and warrant to CM&Co that you will not use the CM&Co Sites or any content of the CM&Co Sites for any purpose that is unlawful or prohibited by these Terms. You will comply with all United States laws regarding the transmission of technical data exported from the United States. You will also not interfere with or disrupt networks and/or systems related to the CM&Co Sites, and you comply with the regulations, policies, and procedures of such networks and systems.

Ownership of CM&Co Sites and content. CM&Co or identified third parties own all right, title and interest in and to the CM&Co Sites and all content, copyrighted material, trademarks, images, videos, and other content within the CM&Co Sites. All contents of the Site are copyright protected, and certain terms and trade names are trademark protected. Rights not expressly granted herein are reserved by CM&Co and/or its subsidiaries, affiliates or suppliers.

There are opportunities to comment on CM&Co Sites material, and any comments, suggestions, ideas or other submissions provided in comment areas or through communications to CM&Co by using the CM&Co Sites will become CM&Co property and constitutes an assignment to CM&Co of all worldwide right, title and interest, including copyright and other intellectual property rights, in and to the material and information. CM&Co may or may not use any idea, submission or suggestion without restriction, acknowledgement or remuneration.

Limitation of liability and warranty restriction. CM&Co makes no representation or warranties regarding the accuracy, reliability or completeness of the content on the CM&Co Sites. Also, CM&Co does not warrant that the CM&Co Sites or the hosting servers are free of computer viruses or other destructive files. The materials and information provided on the CM&Co Sites website are provided “as is” without warranty of any kind, either expressed or implied. There is no warranty against interference with your enjoyment of any materials, information or services or against infringement. Further, you agree to indemnify, defend and hold harmless CM&Co, its employees, directors, officers, agents, subsidiaries and affiliates from and against any and all claims, damages and costs, including reasonable attorneys’ fees and related expenses, arising from or related to your use of the CM&Co Sites or the material provided therein, any breach by you of these Terms and any claim that you have violated a user’s privacy rights by collecting or using information about such user’s use of the CM&Co Sites.

Privacy. We are committed to protecting your privacy. We will only use the information that we collect about you lawfully. You are not required to provide any personal information in order to access the CM&Co Sites. However, you may choose to provide your name, mailing or email address or other personal information if you would like to receive information from us. We will not transfer any personal information you provide to the CM&Co Sites to any non-CM&Co entity for commercial purposes. If you provide your email address or other contact information, you may receive email from us or be contacted by a CM&Co representative to follow up on your interests or questions.

Our web server may log your Internet Protocol (IP) address or the IP address of your proxy server. CM&Co does not currently track or review this information. We currently do not use any “cookie” technology on the CM&Co Sites. If we add any cookies to the CM&Co Sites in the future, we will change this Privacy Policy to explain how such cookies are used.

As part of our services, we may use artificial intelligence (“AI”) software that may include but is not limited to compiling company lists, contact information, the ideation of content marketing materials such as headlines, photos, videos, or other imagery, social media captions or industry-related written materials. We recognize that the use of such technology may raise concerns about privacy and data security. When using AI software, we may collect and analyze user data to help improve our processes and services to better serve our clients. This may include information such as user engagement with social media content, website usage, or other metrics.  

The information we collect is used solely for the purpose of providing our services and improving our business. However, we may share data with third-party service providers who assist us in operating our business and providing our services, subject to strict confidentiality agreements. As a user or client of our services, you may have the right to access, correct or delete any personal information we have collected about you. You may also request that we limit the use of your personal information or object to its processing. To exercise these rights or file a complaint about our use of AI software, please contact us at the email address provided on our website. 

We reserve the right to modify this Privacy Policy at any time, so please review it frequently.

Regulatory. All securities products and services are offered by CM&Co registered representatives through Carleton McKenna Advisors, LLC, a FINRA registered broker-dealer and SIPC member firm.

Governing Law. This Agreement, and the respective rights and obligations of the parties hereto, shall be governed by and construed in accordance with the laws of the State of Ohio. Any suit or proceeding regarding the CM&Co Sites or any part of the site shall be brought only in Ohio. Each of the parties consent to the exclusive personal jurisdiction and venue of the court, state and federal, located in city of Cleveland, Ohio.
